Terms of Service

The service

Clyde connects to your email and freight systems, reads the messages you authorize, and drafts replies, updates, and follow-ups for your team to review and send. Clyde is a drafting and organization tool. You remain responsible for every message sent from your accounts, every rate quoted, and every commitment made to a customer, carrier, or shipper.

Accounts

You must be 18 or older and authorized to act for the company you sign up under. Keep your login credentials confidential and tell us promptly at support@clydeops.com if you suspect unauthorized access. You are responsible for activity under your account and for the users you invite.

Your data and permissions

You keep ownership of your email, documents, and business data. You grant us a limited license to process that data only to provide, secure, and improve the service for you, as described in our Privacy Policy. You confirm you have the right to connect the inboxes and systems you authorize, including any consent required from your employer or coworkers on shared mailboxes.

Acceptable use

Do not use Clyde to send spam, misrepresent who you are, harass anyone, infringe third-party rights, or break any law or carrier and broker regulations. Do not attempt to reverse engineer the service, probe its security, scrape it, resell access, or overload it. We may suspend accounts that violate these rules.

AI output

Drafts are generated by automated systems and can be wrong, incomplete, or out of date. Review every draft before sending. Clyde does not provide legal, financial, or compliance advice, and a draft is not a rate confirmation, contract, or tender acceptance until you send it and the other party agrees to it.

Trials, fees, and cancellation

Free trials convert to a paid plan only if you choose one. Paid plans are billed monthly in advance at the price shown when you subscribe, plus any per-load or per-seat usage stated on your plan. You can cancel at any time from your account or by emailing support@clydeops.com; cancellation takes effect at the end of the current billing period and fees already paid are not refunded unless the law requires it. We may change prices with at least 30 days notice by email.

Third-party services

Clyde integrates with services you choose to connect, such as Gmail, Microsoft 365, and transportation management systems. Your use of those services is governed by their own terms, and we are not responsible for their availability or behavior.

Availability

We aim to keep Clyde available around the clock but do not guarantee uninterrupted service. We may change, pause, or discontinue features, and we will give reasonable notice for changes that materially reduce the service you pay for.

Disclaimers and limitation of liability

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. To the fullest extent permitted by law, Clyde is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, lost loads, claims, fines, or detention and layover costs arising from your use of the service. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

Indemnity

You agree to defend and indemnify Clyde against claims arising from messages you send, data you connect without proper authorization, or your violation of these terms.

Termination

You can close your account at any time. We can suspend or terminate accounts that violate these terms or create risk for other customers, with notice where practical. On termination we delete or return your data as described in the Privacy Policy.

Governing law

These terms are governed by the laws of the State of New York, without regard to conflict of law rules. Disputes will be brought in the state or federal courts located in New York, and both sides consent to that jurisdiction.

Changes

We may update these terms. Material changes will be announced by email or in the app at least 14 days before they take effect. Continued use after that date means you accept the new terms.
